Terms of Service

Please read these terms of service carefully before using ChatBook.

By creating an account, subscribing to a plan, or using the ChatBook® platform, the Client (hereinafter "The User") accepts and agrees to be bound legally and without reservation by the following terms with UNOZERO.

1. Definitions

• ChatBook®: A Software as a Service (SaaS) platform that utilizes Artificial Intelligence to automate interactions with guests. • User: The Hotel, tour operator, host, or entity contracting the service. • Guest: The end-user interacting with ChatBook® via messaging channels. • Billable Conversation: An active interaction occurring within a 24-hour window starting from the Guest's first message. • Sources of Truth: Documents, files (iCal, Sheets), APIs, or texts configured by the User that feed the bot's knowledge base.

2. User Accounts and Management

To use ChatBook®, the User must register and maintain an active account. By doing so, the User agrees to: • Provide truthful, accurate, and up-to-date registration information. • Maintain absolute confidentiality of their access credentials. • Assume full responsibility for any activity occurring under their account, whether authorized or not. • Immediately notify UNOZERO of any unauthorized use or security breach in their account.

3. License of Use (Not a Sale)

3.1. Nature of the Agreement: UNOZERO grants the User a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use ChatBook® exclusively as a cloud-based service. 3.2. Reservation of Rights: The User expressly acknowledges that this agreement DOES NOT constitute a sale of the software. UNOZERO retains all rights, titles, and interests, including Intellectual Property, copyrights, source code, algorithms, and the "Hotel Brain System." The payment made strictly corresponds to the rental of the platform's usage.

4. Nature of Service and Artificial Intelligence

4.1. Support Tool: ChatBook® is an assistance and automation tool. It does not replace human judgment nor the operational management of the hotel. 4.2. Limitations of LLMs (Hallucinations): The User understands and accepts that Generative Artificial Intelligence models are probabilistic and non-deterministic. Therefore, ChatBook® may occasionally generate inaccurate responses ("hallucinations") or erroneous interpretations. UNOZERO does not guarantee 100% accuracy in the generated responses and shall not be held liable for factual errors derived from the nature of the technology.

5. Acceptable Use

When using ChatBook®, the User agrees to comply with applicable laws and agrees NOT to: • Use the service for illegal, fraudulent, or unauthorized purposes. • Send spam, unsolicited bulk messages, or violate commercial messaging policies. • Interfere with, disrupt, or attempt to breach the security of UNOZERO's platform, servers, or networks. • Impersonate other people, companies, or hotels. Violation of these acceptable use policies entitles UNOZERO to immediately terminate and block the account without right to refund.

6. Intellectual Property and Data

6.1. User Data: The User retains ownership of the specific business information (prices, photos, policies) uploaded to the platform, but grants UNOZERO a license to use it in providing the service. 6.2. Guest Data: The User acts as the "Data Controller" and UNOZERO as the "Data Processor" under applicable data protection regulations. 6.3. Right to Train: The User grants UNOZERO a worldwide, perpetual, irrevocable, and royalty-free right to use interaction data, metadata, and usage patterns in an anonymized and aggregated manner, for the sole and exclusive purpose of training, improving, and optimizing UNOZERO's algorithms and Artificial Intelligence models.

7. Plans, Limits, and Fees

7.1. Plan Structure: • Freemium: Free usage limited to 30 conversations/month. No Service Level Agreement (SLA) guarantee. • Matrix / PRO: Paid subscriptions with defined conversation quotas. • Overages (Pay as you go): Conversations exceeding the contracted plan's quota will be automatically charged at the current rate (e.g., €0.09/conversation). 7.2. Payments: Payments are processed via third-party gateways (Stripe). The User authorizes the automatic charge of the subscription fee and any generated overages at the end of the billing cycle.

8. User Liability: Integrity of Information

The correct functioning of ChatBook® depends entirely on the quality of the data supplied by the User ("Garbage In, Garbage Out"). 8.1. Connected Sources (iCal, Sheets, APIs): The User warrants that all connected data sources (Google Sheets, iCal, PMS) are up-to-date and error-free. UNOZERO is not liable for phantom availability, overbooking, or erroneous rates resulting from: • Outdated data in the User's source. • Formatting errors or empty cells in the User's files. • Latency or downtime in third-party services (Google, PMS). 8.2. Binding Nature of Responses: If ChatBook® confirms a reservation or communicates a rate based on information (correct or incorrect) supplied by the User's sources, such confirmation shall be binding upon the User regarding the Guest. The User assumes full commercial and financial responsibility for honoring said offer.

9. Third-Party Platforms (Meta/WhatsApp)

9.1. Independence: The service relies on external platforms (WhatsApp, Meta, Instagram) that are beyond UNOZERO's control. 9.2. Suspensions and Blocks: UNOZERO assumes NO liability whatsoever if Meta/WhatsApp suspends, blocks, or restricts the User's account or phone number due to policy violations (e.g., spam reports by Guests). The management of the phone number's reputation is the User's exclusive responsibility. There shall be no refunds for periods of inoperability caused by third-party blocks.

10. Suspension, Termination, and Data Retention

10.1. Suspension for Non-Payment: • Base Subscription: A grace period of 48 hours is granted following a payment failure. Subsequently, the service will be suspended. • Overages: If the automatic payment for additional conversations fails, service suspension shall be immediate until the debt is covered. 10.2. Effects of Termination: Upon termination of the contract, the right of use ceases immediately. 10.3. Data Retention and Deletion: UNOZERO will retain chat histories for a maximum period of 30 calendar days post-termination to allow for export by the User (provided the User is in good standing). After this term, UNOZERO will proceed with the irreversible deletion or anonymization of personal data, without any liability to maintain backups.

11. Limitation of General Liability

To the maximum extent permitted by applicable law: 11.1. UNOZERO shall not be liable for indirect, incidental damages, lost profits, data loss, or business interruption. 11.2. UNOZERO's total cumulative liability for any claim related to this contract shall not exceed the total amount paid by the User during the three (3) months prior to the event that gave rise to the claim. 11.3. The User agrees to indemnify and hold UNOZERO harmless against any third-party (Guest) claims arising from the use of the platform, including claims for erroneous offers or dissatisfaction with the hotel's service.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States of America in the State of Florida. Any dispute shall be submitted to the ordinary jurisdiction of the city of MIAMI, and the parties waive any other venue that may apply to them.
